The force majeure circumstances under the present Contract shall be fire, war, acts of God, export prohibitions, labour conflicts and any other circumstances beyond the control of both parties, if they occur after the conclusion of the Contract or if they have occurred before that time and their effects were not clearly foreseeable and they prevent, hinder or delay performance of the obligations by either party under the present Contract. The Buyers or the Sellers may suspend performance of this Contract on the grounds of force majuere circumstances, neither party being responsible for any damage resulting from such suspension. Goods in transit, however, shall be accepted by the Buyers. Should performance of this Contract be suspended for less than sixty (60) consecutive days, deliveries shall be resumed as soon as practicable for the full contract quantity. If the period of suspension exceeds 60 (sixty) days, deliveries omitted within this period may be cancelled without liability to either party. Certificates issued by appropriate Chambers of Commerce shall be sufficient to claim force majeure circumstances and their duration. |
